MEEDU: End User Licence Agreement

This End User Licence Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and MEEDU LTD, a company registered in England and Wales under company number 11898675 ("MEEDU," "we," "us," or "our"), governing your use of the Meedu platform and services.

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL TERMS OF THIS AGREEMENT, DO NOT USE OUR SERVICES.

1. Definitions

1.1 "Services" means the Meedu educational technology platform, including all features, functionalities, content, and support services provided through our web application.

1.2 "Content" means any materials, including but not limited to videos, links, publications, PDFs, embedded materials, curriculum, learning items, text, images, and other educational resources.

1.3 "User Content" means any Content uploaded, submitted, stored, or shared by you or other users through the Services.

1.4 "Institutional Account" means an account managed by an educational institution or organisation for multiple users.

1.5 "Educational Records" means any records directly related to a student and maintained by an educational institution or on its behalf.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements and Parental Consent

  • You must be at least 13 years old to use the Services.
  • Users under 13 are prohibited from creating accounts.
  • For users aged 13-17: Optional parental notification and review of this Agreement (via provided email at signup).
  • Parents/guardians are responsible for their minor child's use of the Services.
  • Parents/guardians may request account termination or data deletion at any time (see Privacy Policy Section 11).

2.2 Account Types

The Services may include different account types and tiers:

  • Individual student accounts
  • Teacher/educator accounts
  • Parent/guardian accounts
  • Administrative accounts
  • Institutional accounts
  • Free and premium tiers

2.3 Account Responsibilities

You are responsible for:

  • Providing accurate, current, and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use
  • Complying with age verification requirements

2.4 Institutional Accounts

Educational institutions may create and manage accounts for their users subject to:

  • Additional institutional agreement terms
  • FERPA and educational privacy compliance requirements
  • Enhanced data protection measures for student records

3. GRANT OF LICENCE

3.1 Subject to your compliance with this Agreement, MEEDU grants you a personal, non-exclusive, non-transferable, revocable licence to access and use the Services for lawful educational purposes.

3.2 This licence does not include the right to:

  • Resell or commercialise the Services without authorisation
  • Modify, adapt, or hack the Services
  • Reverse engineer or attempt to extract the source code
  • Use automated systems or software to extract data ("scraping")
  • Access the Services to build a competitive product
  • Violate intellectual property rights of third parties

4. USER CONTENT AND CONDUCT

4.1 Your Content Rights

You retain ownership of User Content you create. By uploading or sharing User Content, you grant MEEDU a worldwide, non-exclusive, royalty-free, non-transferable licence to host, store, display, and distribute your User Content solely for the purpose of providing the Services.

4.2 UK Fair Dealing

We recognise the fair dealing provisions under the Copyright, Designs and Patents Act 1988. Users may incorporate limited portions of copyrighted materials where such use qualifies as fair dealing for the purposes of:

  • Research for a non-commercial purpose (s.29 CDPA 1988)
  • Criticism, review, or quotation (s.30 CDPA 1988)
  • Illustration for instruction for a non-commercial purpose (s.32 CDPA 1988)

Fair Dealing Guidelines:

  • Use only the portion necessary for the qualifying purpose
  • Provide sufficient acknowledgement of the source where reasonably practicable
  • Consider the impact on the rights holder
  • Comply with institutional policies and applicable law

Note: Fair dealing under UK law is narrower than the "fair use" doctrine under US copyright law. If you are unsure whether your intended use qualifies, seek advice before uploading content.

4.3 Content Standards

You agree not to upload, share, or embed Content that:

  • Infringes any intellectual property rights
  • Contains viruses, malware, or harmful code
  • Is unlawful, defamatory, obscene, or harmful to minors
  • Violates any person's privacy rights
  • Promotes academic dishonesty or plagiarism
  • Contains hate speech, harassment, or discrimination
  • Violates any applicable laws or regulations
  • Is inappropriate for an educational environment

4.4 Copyright Infringement Reporting

We respect intellectual property rights. If you believe Content infringes your copyright, please notify us at contact@meedu.co.uk with "Copyright Notice" in the subject line, including:

  • Identification of the copyrighted work
  • Location of the allegedly infringing material
  • Your contact information
  • A statement of good faith belief that the use is not authorised
  • A statement of accuracy
  • Your physical or electronic signature, or authorisation to act on the copyright owner's behalf

We will investigate all notices in accordance with the Electronic Commerce (EC Directive) Regulations 2002 and will remove or disable access to infringing content where appropriate.

4.5 Content Moderation

We reserve the right to:

  • Review, screen, and remove User Content that violates this Agreement.
  • Suspend or terminate accounts for violations.
  • Report illegal content to appropriate authorities.
  • Implement automated content filtering systems.
  • Protect minors from inappropriate content.

5. SAFEGUARDING AND CHILD PROTECTION

5.1 Child Safety Commitment

We are committed to maintaining a safe environment for all users, particularly minors, and comply with applicable child protection laws including COPPA.

5.2 Enhanced Protections for Minors

For users aged 13-17:

  • Enhanced privacy protections
  • Restricted data collection
  • No behavioural profiling for advertising
  • Optional parental notification rights
  • Safe reporting mechanisms (see Privacy Policy Section 11)

5.3 Prohibited Conduct Regarding Minors

Users must not:

  • Attempt to contact minors for inappropriate purposes
  • Share inappropriate content accessible to minors
  • Engage in grooming, exploitation, or harmful behaviour towards minors
  • Solicit personal information from children

5.4 Reporting and Cooperation

  • Report child safety concerns to contact@meedu.co.uk with subject line "Safety Report"
  • We will cooperate with law enforcement and child protection agencies as required by law.
  • We maintain incident response procedures for child safety issues.

6. DATA PROTECTION AND PRIVACY

6.1 Comprehensive Privacy Framework

Our collection and use of personal data is governed by our Privacy Policy, which forms part of this Agreement and complies with:

  • UK General Data Protection Regulation (UK GDPR)
  • Data Protection Act 2018
  • Children's Online Privacy Protection Act (COPPA)
  • Family Educational Rights and Privacy Act (FERPA)

6.2 Data Subject Rights

You have the right to:

  • Access your personal data
  • Correct inaccurate personal data
  • Request deletion of personal data
  • Receive data in portable format
  • Restrict processing of data
  • Object to processing based on legitimate interests
  • Withdraw consent for data processing

6.3 AI-Powered Features

The Services include AI-powered features such as an educational chatbot and content generation tools. When you use these features, your queries and relevant course content are processed by third-party AI providers (currently OpenAI and Anthropic) acting as data processors on our behalf. These providers process your data solely to generate responses and do not use it to train their models. For full details, see our Privacy Policy.

6.4 Data Storage and Security

  • User data is stored securely with appropriate technical and organisational measures.
  • Industry-standard encryption for data protection.
  • Regular security assessments and monitoring.
  • Data retention policies as outlined in our Privacy Policy.

6.4 Educational Records

For educational institutions, we:

  • Act as a school official with legitimate educational interest
  • Protect educational records according to FERPA requirements
  • Maintain appropriate data processing agreements
  • Provide institutional controls and reporting

7. PAYMENT TERMS

7.1 Current Status

The Services are currently free to use during our Beta Release. When paid features are introduced, this section will be updated at least 30 days in advance. Payment processing will be handled by a third-party payment processor, and we will not store complete payment card details.

7.2 Future Paid Features

When paid features become available, the following terms will apply:

  • Monthly and annual subscription plans will be offered
  • Institutional licensing agreements may be available
  • Prices will include applicable taxes where required
  • Prices will be subject to change with 30 days' notice

7.3 Consumer Rights

Statutory Rights: Nothing in this Agreement affects your statutory rights under UK consumer law.

When paid features launch, consumers will have a 14-day cooling-off period from purchase to cancel and receive a full refund, in accordance with UK consumer law.

8. INTELLECTUAL PROPERTY

8.1 MEEDU Property

All Services, including design, functionality, and content created by MEEDU, are our exclusive property or that of our licensors and are protected by intellectual property laws.

8.2 User Content Licensing

Your licence to us is limited to Service provision and terminates when you delete content, subject to:

  • Backup and legal retention requirements
  • Anonymised usage data for analytics
  • Compliance with educational record retention policies

8.3 Feedback and Suggestions

Any suggestions or feedback you provide may be used by MEEDU without obligation to you, but we respect your intellectual property rights in substantial contributions.

8.4 Third-Party Content

We respect third-party intellectual property rights and expect users to do the same. The Services may contain third-party content used under appropriate licences.

9. ACADEMIC INTEGRITY

9.1 Educational Purpose

The Services are designed to support legitimate educational purposes and academic integrity.

9.2 Prohibited Academic Misconduct

Users must not use the Services to:

  • Facilitate plagiarism or academic dishonesty.
  • Share assessment answers or enable cheating.
  • Violate your institution's academic integrity policies.
  • Circumvent educational assessment measures.
  • Engage in unauthorised collaboration where prohibited.

9.3 Institutional Cooperation

We may cooperate with educational institutions investigating academic misconduct whilst respecting user privacy rights and due process.

10. ACCESSIBILITY AND INCLUSION

10.1 Accessibility Commitment

We strive to meet WCAG 2.1 AA accessibility standards and provide:

  • Screen reader compatibility
  • Keyboard navigation support
  • Alternative text for images
  • Captioning for video content where possible

10.2 Accommodation Requests

Contact contact@meedu.co.uk with subject line "Accessibility - [Your Need]" for specific accommodation needs.

11. SERVICE AVAILABILITY AND MODIFICATIONS

11.1 Service Availability

We aim to maintain industry-standard service availability but do not guarantee uninterrupted access due to:

  • Scheduled maintenance
  • Technical difficulties
  • Force majeure events
  • Security incidents

11.2 Service Modifications

We reserve the right to:

  • Modify or discontinue features with reasonable notice
  • Perform scheduled maintenance with advance notice where possible
  • Update the Services for security, functionality, or legal compliance
  • Implement new features and improvements

11.3 Data Backup and User Responsibility

Whilst we maintain backups for operational purposes, you are responsible for maintaining copies of your important User Content.

12. LIMITATION OF LIABILITY

12.1 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 Educational Outcomes

WE DO NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOMES, LEARNING RESULTS, OR ACADEMIC SUCCESS FROM USE OF THE SERVICES.

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the amount paid by you in the 12 months preceding the claim, not to exceed £100
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of data, profits, educational opportunities, or business interruption

12.4 Exceptions and Consumer Rights

Nothing in this Agreement excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable consumer protection laws
  • Breach of statutory consumer rights

13. INDEMNIFICATION

You agree to indemnify and hold MEEDU harmless from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your User Content
  • Your violation of this Agreement
  • Your violation of any rights of another party
  • Your breach of any applicable laws or regulations

14. TERMINATION

14.1 Termination by You

You may terminate this Agreement at any time by:

  • Closing your account through account settings
  • Contacting us at contact@meedu.co.uk
  • Discontinuing use of the Services

14.2 Termination by MEEDU

We may suspend or terminate your access for:

  • Violation of this Agreement or our Terms & Conditions
  • Extended inactivity (with 30-day notice)
  • Legal or regulatory requirements
  • Non-payment of fees
  • Behaviour that threatens user safety or platform integrity

14.3 Effect of Termination

Upon termination:

  • Your licence to use the Services ends immediately
  • You must cease all use of the Services
  • We may delete your User Content after a reasonable period as outlined in our Privacy Policy
  • Certain provisions survive termination (intellectual property, liability limitations, indemnification)

15. DISPUTE RESOLUTION

15.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales.

15.2 Dispute Resolution Process

Informal Resolution: We encourage resolution through our support channels at contact@meedu.co.uk for 30 days before formal proceedings.

Jurisdiction: If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where prohibited by consumer protection laws.

Alternative Dispute Resolution: For qualifying disputes, we offer mediation through recognised ADR providers before litigation.

16. INTERNATIONAL USE

16.1 Global Accessibility

Whilst primarily designed for UK users, the Services may be accessible internationally subject to local laws and regulations.

16.2 User Responsibility

Users outside the UK are responsible for:

  • Compliance with local laws and regulations
  • Understanding their local data protection rights
  • Ensuring legal capacity to enter into this Agreement

16.3 Service Availability

We make no representation that the Services are appropriate or available in all locations. Some features may be restricted based on geographical location.

17. GENERAL PROVISIONS

17.1 Entire Agreement

This Agreement, together with our Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and MEEDU regarding the Services.

17.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision.

17.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. MEEDU may assign this Agreement without restriction.

17.5 Agreement Updates

We may update this Agreement from time to time. Material changes will be communicated with at least 30 days' notice. Your continued use constitutes acceptance of changes.

17.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, labour disputes, or infrastructure failures.
